Tips to constitute a Corporation

You have read enough of Corporations in Panama and up to here you have an ample knowledge. As follows, we will give you some tips that we have already mentioned and that you must remember when establishing your Corporation:

 

1. Name of the Corporation: the name of the Corporation can be in any language and must include one of the following suffixes: Inc., Incorporation or Incorporated, Corp., Corporation, S.A. All are the same for listing your Corporation as anonymous.

 

2. The Directors/Officers: are (3) three. Remember President, Secretary and Treasurer. We can make it with some of these options:

OPTION 1:
PRESIDENT - natural person from our staff
SECRETARY - natural person from our staff
TREASURER - natural person from our staff

 

OPTION 2:
PRESIDENT - legal person
SECRETARY - legal person
TREASURER - legal person
- Legal person means another Corporation. Example: President, S.A.; Secretary, S.A.; Treasurer, S.A.

 

OPTION 3:
PRESIDENT - natural person designated by you
SECRETARY - natural person designated by you
TREASURER - natural person designated by you


Remember that if you want anonymity, we recommend you options 1 and 2.
Also remember that any change on your Corporation must be recorded in a Minute and being registered in the record book of minutes.

 

3. Stock certificate: these indicate who the owners of the Corporation are. The shares can be issued or done by the following options:

 

OPTION 1:
TO THE BEARER: "To the Bearer" means, who has the shares at the moment. This is the same as a check issued To the Bearer; it is cashed by who has it in the moment.

 

OPTION 2:
NOMINATIVE: issued in favor of a natural or a legal person (it can be a Corporation or a Private Interest Foundation).

 

OPTION 3:
BLANK: we can make you the stock certificates and leave them Blank, so that it is filled by the interested party at the moment of releasing and paying it. Remember that he must write down the shares released and paid in its respective book of shares.

 

4. AUTHORIZED CAPITAL: the minimum authorized capital is of $10,000.00 dollars. You do not have to invest it at the moment of establishing the Corporation; this can be done without time limit.
